END USER LICENSE AGREEMENT

BY CLICKING ON THE "ACCEPT" BUTTON, YOU ACCEPT AND AGREE TO BE LEGALLY BOUND BY THE TERMS AND CONDITIONS OF THIS END USER LICENSE AGREEMENT (“EULA”). 1.	Grant of License:   
Edutool Research Inc. (the “Licensor”) grants a non-exclusive, non-transferable license (“the license”) to you to use the Iconic Programmer Software and its related documentation (the “Software”) for your personal use upon and subject to the terms and conditions of this EULA.  “Software” includes all updates, additions, enhancements and replacements provided by the Licensor to you from time to time and may include third party software. 
2.	Restriction of Use:    
For each copy of the Software that you license, you will be permitted to install and use the Software on one (1) hard disk, or alternatively, on one (1) other computer storage device, but you will not be permitted to install or use the Software on a file server for use on a network.  Only you may use the Software at any given time and only for your own personal use.  Commercial use of the Software is strictly prohibited. You may not distribute, rent, sublicense, lease or otherwise make the Software available, directly or indirectly, for use by any other person.
3.	Title and Protection: 
All right, title and interest in and to the Software, other than as expressly granted to you herein, shall remain vested in the Licensor or the owner of third party software.  You will not and will prevent others from copying, translating, modifying, disassembling, creating derivative works, reverse engineering, decompiling, encumbering or otherwise using the Software except as specifically authorized under this Agreement or as permitted by law.  Notwithstanding the foregoing, you are authorized to make one copy for archival purposes only.  All appropriate copyright and other proprietary notices and legends shall appear on all Software supplied by the Licensor, and you shall maintain and reproduce such notices on any copies.  
4.	Term: 
This EULA shall remain in force indefinitely until terminated. The Licensor may terminate this EULA i) upon sixty (60) days notice to you; or ii) in the event that you breach any provision of this EULA and fail to cure such breach within fifteen (15) business days after receipt of written notice from the Licensor. Upon termination of the EULA, you will promptly return to the Licensor or destroy all copies of the Software in any form or media.
5.	Warranty:   
THE SOFTWARE IS PROVIDED ON AN "AS IS" BASIS.  THE LICENSOR DOES NOT MAKE AND YOU ARE NOT ENTITLED TO RELY ON ANY WARRANTIES, REPRESENTATIONS, COVENANTS OR CONDITIONS OF ANY KIND WHATSOEVER INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANSHIP, DURABILITY, COMPATIBILITY, OR THAT THE OPERATION OF THE SOFTWARE WILL BE ERROR FREE, OR THAT THE SOFTWARE WILL NOT INFRINGE UPON ANY THIRD PARTY RIGHTS. 
6.	Customer Responsibility: 
You will be solely responsible for the selection of suitable equipment to support the use of the Software and for the results obtained from such use.  The Licensor makes no representation or warranty and disclaims all responsibility in respect of any information or data contained in the Software or their accuracy or suitability for any purpose.
7.	Limitation of liability: 
YOU AGREE THAT LIABILITY OF THE LICENSOR, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUBCONTRACTORS AND REPRESENTATIVES ARISING IN ANY MANNER UNDER OR IN CONNECTION WITH THIS EULA, INCLUDING BUT NOT LIMITED TO, LIABLITY ARISING OUT OF BREACH OF CONTRACT (EVEN IF BASED UPON A CLAIM OF FUNDAMENTAL BREACH OR A BREACH OF A FUNDAMENTALTERM), NEGLIGENCE, STRICT LIABILITY, PRODUCT LIABILITY, WARRANTY OR INFRINGEMENT OF ANY PATENT, COPYRIGHT, TRADE SECRET, TRADE MARK OR OTHER INTELLECTUAL PROPERTY RIGHT SHALL NOT EXCEED THE AMOUNT OF INITIAL PURCHASE PRICE PAID BY CUSTOMER TO THE LICENSOR. YOU FURTHER AGREE THAT THE LICENSOR, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUBCONTRACTORS AND REPRESENTATIVES SHALL NOT HAVE ANY LIABILITY OF ANY KIND FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, HOWEVER CAUSED, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.	Confidentiality:  
You acknowledge that the Software, and other information relating thereto, disclosed to you pursuant to this EULA are owned by the Licensor and include trade secrets, and confidential and proprietary information and you will maintain in confidence and not disclose the same, directly or indirectly, to any third party without the express written consent of the Licensor.  
9.	Assignment: 
You will not assign or transfer this EULA, the Software, or any of the rights granted hereunder, or any part thereof, whether directly or indirectly (including, without limitation, through a transfer of a controlling interest in any corporation you may be involved in or associated with), without the prior written consent of the Licensor. The Licensor may assign or transfer, whether directly or indirectly, its rights under this EULA at its sole discretion.  Subject to the foregoing, this EULA shall enure to the benefit of the parties and their respective successors and assigns.
10.	General: 
a)	This EULA constitutes the entire agreement between you and the Licensor pertaining to the subject matter hereof and supersedes all prior representations, warranties, agreements and understandings, whether oral or written, express, implied or collateral. No supplement, modification or waiver of this EULA shall be binding unless signed by both parties. 
b)	The provisions of Sections 5, 6, 7 and 8 and such other provisions which by their nature continue after termination, shall survive termination of this EULA. 
c)	Under no circumstances shall either party be liable to the other for any failure to perform its obligations where such failure results from causes beyond that party’s reasonable control. 
d)	If any provision of this EULA is held to be invalid, illegal, or unenforceable, it shall be severed and the remaining provisions shall continue in full force and effect.
e)	This EULA shall be governed and construed in accordance with the laws of the Province of Ontario. The application of the United Nations Convention on Contracts for the International Sale of Goods is hereby expressly excluded.
f)	The parties hereto confirm that it is their wish that this EULA, as well as all other documents relating hereto, have been and shall be drawn up in the English language only.
